These Terms and Conditions ("Terms") govern your access to and use of the Uttam Wapi website, mobile application, and services (collectively, the "Service"). By registering for, accessing, or using the Service, you ("User," "you," or "Customer") agree to be bound by these Terms. If you do not agree, you must not use the Service. 2. Eligibility You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using Uttam Wapi, you represent and warrant that: You are a legitimate business, organization, or individual authorized to use WhatsApp Business API. All information you provide during registration is accurate, complete, and current. You will comply with all applicable laws, including Meta's (WhatsApp) Business Policy and Commerce Policy. 3. Registration and Account 3.1 Account Creation You must create an account to access certain features. You agree to provide accurate information and update it promptly if changes occur. 3.2 Account Security You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access or breach of security. 3.3 Account Suspension We reserve the right to suspend or terminate your account if we suspect fraudulent activity, violation of these Terms, or non-compliance with Meta's policies. 4. Services Provided Uttam Wapi provides the following services: Onboarding and verification for the Official WhatsApp Business API. Technical support and training for WhatsApp Business API usage. Access to a vendor/management panel for messaging and analytics. Ongoing subscription management and renewal. We act as an authorized solution provider or enabler for WhatsApp Business API. We do not control Meta's approval process, policies, or infrastructure. 5. Payments and Subscriptions 5.1 Subscription Plans Our services are offered under various subscription plans (e.g., monthly, yearly). Prices, features, and durations are specified on our pricing page at the time of purchase. 5.2 Payment Terms All payments must be made in full before service activation. We accept payments via [list payment methods, e.g., credit card, bank transfer, UPI, Razorpay]. You are responsible for any applicable taxes, fees, or transaction charges. 5.3 Non-Refundable Policy All payments made for Uttam Wapi services are strictly non-refundable. Please refer to our separate [Non-Refundable Payment Policy] for detailed terms, including: No refunds after onboarding or activation. No refunds for delays or rejections caused by Meta. No refunds for unused subscription periods. Cancellation does not entitle you to a refund. 5.4 Automatic Renewal Unless you cancel before the renewal date, your subscription will automatically renew at the then-current rate. You authorize us to charge the saved payment method for each renewal. 5.5 Failed Payments If a payment fails, we may suspend your access until the outstanding balance is paid. Late fees may apply. 6. Cancellation and Termination 6.1 By You You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of your current billing cycle. No refunds will be issued for partial months or unused periods. 6.2 By Us We may terminate or suspend your access immediately if: You violate these Terms or Meta's policies. You fail to pay fees when due. We suspect fraudulent or illegal activity. 6.3 Effect of Termination Upon termination: Your access to the Service will be revoked. You will lose access to your dashboard, analytics, and message history. Any unpaid fees become immediately due. 7. User Obligations and Prohibited Conduct 7.1 Compliance with Laws You agree to use the Service only for lawful purposes and in compliance with: All applicable local, state, national, and international laws. Meta's WhatsApp Business Terms, Business Policy, and Commerce Policy. Spam, privacy, and telemarketing regulations (e.g., GDPR, CAN-SPAM, TRAI regulations in India). 7.2 Prohibited Activities You may NOT use Uttam Wapi to: Send spam, unsolicited messages, or misleading content. Harass, abuse, defame, or threaten others. Transmit malware, viruses, or harmful code. Violate intellectual property rights of others. Engage in fraudulent, deceptive, or illegal activities. Send messages related to prohibited categories (e.g., gambling, adult content, weapons, illegal drugs) as defined by Meta. 7.3 Message Consent You are solely responsible for obtaining proper consent from your message recipients as required by applicable law and Meta's policies. You must maintain records of such consent. 8. Meta (WhatsApp) Approval and Delays 8.1 No Guarantee of Approval WhatsApp Business API onboarding is subject to review and approval by Meta. Uttam Wapi does not guarantee approval. Meta may reject, restrict, or suspend your WhatsApp Business Account for any reason. 8.2 Delays Onboarding timelines are estimates only. We are not liable for delays caused by Meta, including but not limited to extended reviews, technical issues, or policy changes. 8.3 No Refund for Rejection If Meta rejects your WhatsApp Business Account, you will not receive a refund. However, we may offer alternative solutions or credits at our sole discretion. 9. Intellectual Property 9.1 Our Property All content, logos, trademarks, software, and materials on the Platform are owned by Uttam Wapi or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Service without written permission. 9.2 Your Content You retain ownership of all messages, contacts, and data you send through the Service. By using the Service, you grant us a limited license to process, store, and transmit your content solely to provide the Service. 10. Data Privacy Your privacy is important to us. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices. 11. Disclaimer of Warranties TO THE FULLEST EXTENT PERMITTED BY LAW: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR ANY ACTIONS, OMISSIONS, OR POLICIES OF META (WHATSAPP). 12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL UTTAM WAPI, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE). 13. Indemnification You agree to indemnify, defend, and hold harmless Uttam Wapi and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: Your violation of these Terms. Your violation of any law or third-party rights. Your use of the WhatsApp Business API. Any consent-related claims from your message recipients. 14. Force Majeure We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, outages of internet or telecommunications services, or actions of Meta (WhatsApp). 15. Modifications to Terms We reserve the right to update or modify these Terms at any time. Material changes will be notified via email or in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. 16. Governing Law and Dispute Resolution 16.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of [Your Country / State, e.g., India / Karnataka], without regard to conflict of law principles. 16.2 Dispute Resolution Any dispute arising out of these Terms shall first be attempted to be resolved through good-faith negotiations.
